This End User License Agreement (“Agreement”) governs your access to and use of the software, dashboard, integration tools, invoice automation features, and related services provided by Obikel Transportation LLC (“Company,” “we,” “us,” or “our”) for connecting transportation request data with QuickBooks Online (the “Application”).
By accessing or using the Application, you agree to be bound by this Agreement. If you do not agree, do not use the Application.
1. License Grant
Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Application solely for your internal business purposes, including managing private-pay NEMT trip invoice workflows, syncing approved trip-related data, and creating invoices in QuickBooks Online.
2. QuickBooks Integration
The Application connects with QuickBooks Online through Intuit’s APIs. You acknowledge that:
- QuickBooks Online is provided by Intuit Inc., not Obikel Transportation LLC.
- Your use of QuickBooks Online remains subject to Intuit’s own terms and policies.
- We are responsible only for the Application and not for QuickBooks Online, Intuit services, Intuit availability, or Intuit account issues.
- You must authorize the Application to access your QuickBooks Online company file before invoice synchronization can occur.
3. Data Access and Use
The Application may access, process, and transmit limited business data necessary to perform invoice automation, including:
- Customer or passenger name
- Email address
- Trip details
- Trip price or calculated fare
- Invoice status
- QuickBooks customer, item, and invoice information
We use this data only to provide the Application’s functionality, including creating invoices, sending invoice emails through QuickBooks, tracking invoice/payment status, troubleshooting, and maintaining service reliability.
4. User Responsibilities
You are responsible for:
- Ensuring trip, customer, pricing, and invoice data is accurate before invoices are sent.
- Maintaining your QuickBooks Online account and permissions.
- Keeping your login credentials confidential.
- Using the Application only for lawful business purposes.
- Ensuring your use complies with applicable transportation, billing, privacy, tax, and consumer protection laws.
You may not use the Application to commit fraud, send unauthorized invoices, misuse customer data, interfere with the service, reverse engineer the Application, or violate Intuit’s developer/API terms.
5. Pricing and Invoice Calculations
The Application may use pricing data from BAMBI NEMT or fallback pricing settings configured in the admin dashboard. You are solely responsible for reviewing and maintaining correct pricing rules. We do not guarantee that automated invoice amounts will be correct in every circumstance.
6. Payment Links and Email Delivery
Invoices and payment links may be sent through QuickBooks Online if enabled and supported by your QuickBooks account. We do not process payments directly unless separately stated in writing. Payment processing, payment links, card/ACH options, and related fees may be governed by Intuit or its payment service providers.
7. Availability and Support
We will use commercially reasonable efforts to maintain the Application, but we do not guarantee uninterrupted or error-free operation. Support may be requested by contacting:

8. Ownership
The Application, including its software, design, workflows, documentation, and related intellectual property, is owned by Obikel Transportation LLC or its licensors. This Agreement does not transfer ownership rights to you.
QuickBooks, Intuit, and related marks are owned by Intuit Inc.
9. Confidentiality
Each party agrees to protect confidential information received from the other party and to use it only as necessary to perform under this Agreement.
10. Security
We use reasonable administrative, technical, and organizational measures to protect data processed by the Application. However, no system is completely secure. You are responsible for managing authorized users, access credentials, and connected third-party accounts.
11. Termination
We may suspend or terminate your access to the Application if you violate this Agreement, misuse the Application, create legal or security risk, or if required by law or third-party platform rules.
You may stop using the Application at any time and may disconnect it from QuickBooks Online through your QuickBooks/Intuit account settings.
12. Disclaimer of Warranties
The Application is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and error-free operation.
13. Limitation of Liability
To the fullest extent permitted by law, Obikel Transportation LLC will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, billing errors, payment delays, or business interruption.
14. Indemnification
You agree to defend, indemnify, and hold harmless Obikel Transportation LLC from claims, damages, liabilities, costs, and expenses arising from your use of the Application, your data, your invoices, your violation of this Agreement, or your violation of applicable law or third-party terms.
15. Changes to this Agreement
We may update this Agreement from time to time. Continued use of the Application after changes become effective means you accept the updated Agreement.
16. Governing Law
This Agreement is governed by the laws of the State of Texas, without regard to conflict of law principles.
